PROPOSALS FOR SALES OF SHARES OF CPD S.A.

Management Board of CPD S.A. with its registered office in Warsaw, acting on the basis of Resolution no 3/IX/2017 of the Management Board of the Company on determination of detailed terms of purchase of the Company’s shares, in connection with the Resolution No. 18 of the Annual General Meeting of CPD of 10 May 2017 on acquisition of the shares of the Company for the purpose of redemption, amended by the Resolution no 3 of the Extraordinary General Meeting of CPD S.A. of 7 June 2017 on the amendment of resolution no 18 of the Annual General Meeting of 10 May 2017 on the purchase of the shares of the Company for the purpose of redemption, would like to invite the Company’s shareholders to submit proposals for the sales of shares in accordance with the terms and conditions as specified in this Invitation to Submit Proposal for Sales of Shares.

URSA SMART CITY – MODERN RESIDENTIAL COMPLEX IN THE URSUS DISTRICT

In September 2015, one a year after a joint venture agreement was signed between Unidevelopment S.A. and CPD S.A., construction and sale of apartments in phase 1 of the URSA Smart City is set to begin. The project will be realized in accordance with the Local Zoning Plan published last year. The investment project represents the start of the process of revitalization of the area, and in the course of the next several years a modern urban development will be completed.

Unidevelopment S.A. and CPD S.A. will construct a residential complex at the junction of Hennela and Dyrekcyjna streets in two phases.  The complex will comprise a total of four buildings providing 356 apartments. 181 units will be constructed in the first phase providing individual apartments with floor areas of between 32 and 102 m2. We will offer mainly two- and three-room apartments, these being the most in demand from our customers.  Commercial premises will be located on the ground floor of each building, these areas ranging from 19 to 103 m2.  Parking for 359 vehicles is to be provided at underground level. The design of the residential complex was prepared by the architecture firm Hermanowicz Rewski Architekci.

On 6th and 7th of September at the Warsaw Residential Fair in Hala Torwar, Łazienkowska street detailed information regarding the complex and the apartments offered will be presented.  During early September the on-site sales office will open, to coincide with the commencement of construction works for Phase 1. The completion of this phase has been scheduled for the fourth quarter of 2016.

Residential complex in a modern urban environment

During recent  years a large number of infrastructure investment projects have been completed in Ursus, resulting in this area being one of the most up and coming areas of Warsaw today.  Thanks to the Local Zoning Plan published last year this area is set to undergo further extensive improvement.  Modern sustainable urban development will be constructed with eco-friendly solutions including bike paths, charging points for electric cars, photovoltaic panels, and numerous other innovative solutions. In addition to apartments, planned investments include recreation areas, public and cultural institutions, office buildings and commercial premises. The result will be a vibrant and safe area, which provides every possible convenience to residents.

URSA Smart City housing complex, which will be constructed by Unidevelopment S.A. and CPD S.A., constitutes the first part of the investment project in the area. It will be located in close proximity of the Ursus District Hall, the Factory Outlet shopping center, the local city railway station, the Arsus Cultural Center and the educational center Zespół Szkół Społecznego Towarzystwa Oświatowego in Warsaw.                               

Easy access to Warsaw city center and other parts of the city

The location of the project is just 9km from Warsaw City Centre and it benefits from excellent transport links.  Access by private vehicles has recently been improved by the opening of the newly constructed 4 czerwca 1989 r. street (Nowolazurowa), which connects Ursus to Aleje Jerozolimskie, the Salomea and Opacz Warsaw ringroad junctions, and Nowomory street.  An easy connection to Połczyńska street connects the development to the Western side of the city.   Access to the Warsaw ring road is within approximately 5 minutes drive time.

Future residents of Ursa Smart City will also benefit from convenient public transportation links.  The housing complex will be constructed within close proximity of three railway stations: Ursus, Ursus Północny, Gołąbki and Niedźwiadek.  During peak hours trains depart every 5-10 minutes arriving to the city centre within 15 minutes. There are 12 bus lines close by connecting Ursus with all districts of Warsaw.

CPD EXPANDS IN URSUS

The CPD SA Group is pleased to announce that it has completed the purchase of an additional site in the heart of the Smart City development in Ursus district. The site totals 7 hectares and is near to Gierdziejewskiego street, allows to construct around 80 000 m2 of residential and commercial accommodation in an area which will include some of the planned education and recreation facilities. The purchase increases CPD’s holdings in Smart City to 60 ha and will enable CPD to construct around 700 000 sq m of the buildable square meters. Smart City is now one of the largest residential project in Warsaw and will aim to set new standards of design and services

Purchased property adjacent directly to other sites owned by CPD SA. Transaction completed portfolio of sites in the Smart City at strategic areas adjacent to the areas planned for education and recreation. According to the local zoning plan, purchased property along with site designated for education and recreation will be a unique modern residential complex with area of over 20 hectares, offering attractive housing to ensure its location, high quality of life for its residents.

This area is an integral part of the Smart City project, which would provide 62% of the residential buildings, 18% for office centers, 10% for commercial activities, and the remaining 10% for public purposes. Ultimately, the Smart City resident Ursus has about 30,000 residents and provide about 200 000 m² of office space and service.

Smart City is one of the largest and one of the best-connected new developments in Warsaw. It will encompass about 220 hectares of residential, retail, commercial, education and leisure facilities when complete and is 9 km from the City center to which it is well connected by rail, road and tram.

In accordance with the provisions of the local plan for the area of Smart City CPD SA Group, as the largest investor can realize projects with a floor area of about 730 thousand square meters, of which about 500 000 square meters can be developed for residential, 200 thousand for retail and commercial and 30 thousand square meters in public buildings. The CPD SA Group is able to adjust its development strategy for Smart City to the evolving needs of the Warsaw market in particular segments of the real estate market thanks to the scale of the project and a flexibility of the zooning plan. The actions of the CPD SA Group will aim to optimize the building and increase the attractiveness of the project to potential residents and thus achieve the maximum value of the project for shareholders CPD SA.

The first phase of the project is now underway and is located to the South East of the park, in an attractive area of mature trees, close to the existing shopping center and Factory Outlet Mall Ursus as well as the Ursus Culture center. This first phase will provide approximately 360 1, 2 and 3 bed apartments in 4 buildings and is designed to appeal to young families. The scheme will provide an attractive landscaped environment including a kindergarten, a nursery school, a playground and a new public school.

THE CEREMONIAL START OF REVITALIZATION IN URSUS

Thank to the Master Plan the former ZPC Ursus area of 220 ha gets total methamorphosis in a few next years. On the area with that high potential, real estate developments with innovational form of Smart City with all city infrastructure, giving to the district balanced development, will arise. Realization of investment as a cooperation with local government, will be began by the owner of a site – CPD SA and Unidevelopment S.A. as well as Unibep S.A.

Works on a Master Plan took approximately 8 years. The document was validated on 15th of August of 2014. It’s adoption will give a chance to the local government of district as well as all the investors having ownership rights to the land, to begin revitalization process.

CPD S.A. from the beginning of the action in Ursus give priority to work closely with the local government of district and the city. Prior to the adoption of the plan by the Council of Warsaw, the board of CPD and the city authorities signed an agreement on a free transfer to the local government almost 8 acres of land, and today the Declaration of Support for the District of Ursus. Details of the agreement and the Covenant assume:

1) Free transfer of land for the construction of local roads in the area covered by the master plan for the area located close to the street Orlow Piastowskich.

2) Recognition of investment plans and execution issues the creation of new green spaces and recreational facilities available to residents of Ursus.

3) Introduction of security solutions and reduce the risks resulting from the process of revitalization of falling LDP.

4) Cooperation in the implementation of educational and sports complex areas included in the Unitary Development Plan as designated for educational purposes.

5) Support of the Centre for Culture Arsus on postindustrial sites in Ursus.

6) Cooperation in the maintenance of the Museum of Ursus on postindustrial sites in Ursus.

CPD S.A. is ready for immediate beginning of actions related to the master plan. For the first of the project, partner from the developer sector was choosen. CPD S.A. signed a cooperation agreement with Unidevelopment S.A. today. It will rely on the joint implementation of complex multi-family buildings with a service and the accompanying infrastructure.

Master Plan allows you to start the revitalization of postindustrial sites and organize urban area of about 220 hectares, constituting 25% of the entire district of Ursus. Currently, it is the area with the greatest potential investment in m. St. Warsaw covered by a uniform development plan. Moreover, it is just 9 km away from the center of the city center and 5 minutes drive from Frederic Chopin Airport. It has excellent infrastructure and modern solutions in the field of public transport: rail and road.

In accordance to Master Plan, CPD S.A. as the largest investor can realize projects with a floor area of about 740 thousand m², of which about 450 thousand m² can be used for housing, 250 thousand for building service-trade and 40 thousand sq ft under public building. The Company intends, however, to modify these assumptions to optimize the building and increase the attractiveness of a location for potential residents, and thus achieve maximum project value for its shareholders.
